The "Paavo's" franchise allows the franchisee to use ORION FOOD SYSTEMS L.L.C.'s ("ORION's") products, recipes, and trademarks to operate a "Paavo's" Franchise, and produce and sell "Paavo's" pizza and other products, in retail food service facilities, featuring required menus, and proprietary foodstuffs distributed by ORION and located within an existing business such as a convenience store, grocery store or institution. The franchisee must also provide full-time, on-site management of the franchise, and employ ORION-trained personnel to produce "Paavo's" products. The franchisee is required to purchase all food and paper products from ORION or ORION's authorized suppliers. The franchisee will obtain all necessary licenses and permits, at its sole cost and expense, before commencing operations of the franchise business. The "Paavo's" franchise may only be operated in strict compliance with ORION's proprietary methods, procedures, and standards that are outlined in the Operations Manual as amended from time to time by ORION ("Manual"). These include, without limitation, ORION's quality control procedures for receiving, storing, preparing, and serving food products; health and sanitation standards; employee training and supervision procedures.
